Personal Cheques, Security Cheques and Account Reconciliation Policy
Company authorisation and account reconciliation procedures. This notice does not cancel existing cheques, guarantees or debts, or override UAE law or signed agreements.
1. Purpose and application
This policy sets out ZK Properties LLC's requirements for authorising, recording and handling personal cheques, security cheques and disputed account balances in transactions involving the Company. It applies internally to directors, partners, employees and representatives acting on the Company's behalf. Its application to customers, suppliers and other counterparties is subject to their applicable agreements and UAE law. Publication alone does not amend an existing agreement or bind a third party to new contractual terms.
2. Personal cheques and company obligations
No director, partner, employee or representative is authorised by the Company to request, issue, receive, pledge or use another person's personal cheque for a Company obligation without documented authority from the person concerned and the Company's duly authorised signatory, identifying the transaction and permitted purpose.
Employment, partnership, shareholding or a management role must not, by itself, be represented by the Company's personnel as consent to a personal guarantee. Any personal undertaking must be assessed according to its actual terms and applicable law. This policy does not release a cheque signatory, guarantor or other person from a valid existing obligation or statutory liability.
3. Security cheques from earlier contracts
Company personnel must not treat a cheque provided for a particular contract or limited security purpose as unrestricted security for every subsequent transaction. Before seeking to apply an earlier cheque to a renewed contract, a new transaction or a current account balance, the relevant documents must be reviewed to establish the legal and contractual basis for that use.
Where the existing documentation does not validly authorise the proposed use, appropriate express written agreement must be obtained from the relevant parties. A general description such as “security cheque” does not, on its own, determine whether a cheque may be presented or enforced. Equally, the age or expiry of a contract does not, by itself, establish that all secured obligations have been discharged.
4. Alterations, transfer and presentation
Company personnel must not complete, alter, endorse, transfer or present a cheque beyond their documented authority or contrary to applicable law. Any permitted completion of an instrument must remain within the authority actually given. Staff must retain a record of the relevant agreement, cheque purpose, authorised amount or limit, and applicable conditions.
Before the Company presents a cheque, the responsible team must check the underlying obligation, amounts already paid, applicable contractual conditions and any known dispute. This is an internal control; it does not impose a new statutory condition on a bank, court or third-party holder.
5. Reconciliation of outstanding balances
Any person asserting an amount against the Company is requested to provide the relevant contract and amendments, invoices or other supporting documents, a statement of account showing payments and credits, and an explanation of how the amount claimed is connected to any cheque or guarantee relied upon.
The Company will review the documents and communicate its position. Undisputed amounts and disputed items should be identified separately. A request for reconciliation is not an admission of liability, a settlement, a waiver, or an automatic suspension of payment or legal deadlines. Neither party should assume that silence amounts to acceptance.
6. Release and return of security
Once the secured obligations have been discharged, the parties should document the release and arrange the return or agreed cancellation of unused security, subject to the agreement and applicable law. Company personnel must not retain or reuse a cheque for an unrelated purpose without a valid legal and contractual basis. Any continuing security expressly agreed between the parties must be reviewed on its terms.
7. Reporting concerns and protecting information
Concerns about unauthorised use, a disputed balance or a request to return security may be sent to inquiry@zkproperties.ae, with the subject “Cheque / Account Reconciliation — [Contract Reference]”. Initial contact is also available on +971 55 583 8151 or WhatsApp.
In the initial message, provide the contract reference, dates, amount in question and a brief explanation. Do not send passwords, PINs, one-time codes or unnecessary identity documents. Request a suitable secure channel before sharing an unredacted cheque image or full banking details. These contact channels do not replace formal service requirements under a contract or law.
8. Existing rights and legal proceedings
This notice does not cancel a cheque, revoke a personal guarantee, discharge a debt, amend a signed contract, direct a bank to stop payment, or prevent a person from exercising lawful rights. It is not a representation that personal or security cheques are generally prohibited under UAE law.
Cheque liability, the scope of security, available defences and enforcement are determined by the relevant documents, applicable law and competent authorities. A complaint to the Company or publication of this notice does not stay court proceedings or extend a legal deadline. A person facing presentation or enforcement of a disputed cheque should obtain prompt UAE legal advice about the specific documents and available procedures.
9. Changes and governing framework
The Company may update its internal policy prospectively. Changes to contractual rights require the agreement or other legal basis applicable to the transaction. Applicable UAE law and any valid contractual dispute-resolution provisions remain unaffected. Nothing in this policy excludes mandatory legal rights or liabilities.
